Terms of Service

Welcome to Get Annotator (Macgence)! These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Get Annotator (“we,” “us,” or “our”), governing your use of our platform, website, and all related services (collectively, the “Services”). By registering for an account or otherwise accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

Key Definitions

• “Client”: Any individual or entity that registers an account and posts a Project to hire Annotators.
• “Annotator”: Any individual or entity that registers an account and uses the Services to provide data annotation and validation services to Clients.
• “User”: Any individual or entity that accesses or uses the Services, including both Clients and Annotators.
• “Project”: A specific task, job, or set of tasks for data annotation, labeling, or validation posted by a Client on the platform.
• “Client Content”: All data, instructions, guidelines, materials, and other content uploaded by a Client for a Project.
• “Annotated Deliverables”: The final data annotation or validation output provided by an Annotator.

User Accounts and Eligibility

• Eligibility: You must be at least 18 years old and legally able to enter into a contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.
• Registration: You agree to provide accurate, current, and complete information during the registration process and to keep your account information up-to-date.
• Account Security: You are solely responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately if you suspect any unauthorized access to your account.
• Termination: We reserve the right to suspend or terminate your account at our sole discretion, without notice, if we believe you have violated these Terms or for any other reason.

The Get Annotator (Macgence) Service

Get Annotator (Macgence) provides a marketplace and a suite of project management tools designed to connect Clients with skilled Annotators.

• For Clients: Clients can post Projects, specify requirements, review annotator profiles, monitor project progress, and manage payments. Get Annotator (Macgence) facilitates the connection but does not guarantee the quality of every Annotator’s work.
• For Annotators: Annotators can browse available Projects, apply for work, communicate with Clients, submit completed tasks, and receive payment for their services.
• No Employment Relationship: Get Annotator (Macgence) is a platform. It does not act as an employer of Annotators. Annotators are independent contractors and are solely responsible for their own taxes, insurance, and other liabilities.

Fees, Payments, and Billing

• Client Subscriptions: Clients agree to pay the recurring monthly subscription fee for their chosen plan. Fees are billed in advance.
• Annotator Payouts: Annotators are paid based on the agreed-upon terms for each Project. Payments will be processed through the platform. Get Annotator (Macgence) may charge a service fee to Annotators, which will be deducted from their earnings.
• Billing Disputes: Any billing disputes must be reported to us within 30 days of the charge.
• Taxes: You are responsible for all taxes associated with your use of the Services, including any income or VAT taxes.

Intellectual Property Rights

• Client Content: You represent and warrant that you have all necessary rights to upload and use the Client Content on our platform. Get Annotator (Macgence) will only use the Client Content for the purpose of executing the Project.
• Annotated Deliverables: Upon full and final payment for a Project, all Annotated Deliverables become the sole and exclusive property of the Client. Get Annotator (Macgence) and the Annotator retain no rights to the final deliverables.
• Platform IP: All intellectual property rights in the Get Annotator (Macgence) platform, including its software, trademarks, and content, are owned by Get Annotator (Macgence). You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

Confidentiality

You agree that all Client Content, project information, and other non-public information shared through the Services is confidential. You will not use or disclose any confidential information to any third party without express written consent. Annotators will handle and protect Client Content with the same level of care as their own confidential information.

Prohibited Conduct

You agree not to:

• Violate any applicable laws, regulations, or third-party rights.
• Engage in fraudulent, deceptive, or misleading activity.
• Circumvent the platform by attempting to make payments or hire/be hired off the Get Annotator Macgence platform.
• Upload viruses, malware, or other malicious code.
• Harass, threaten, or abuse other Users.
• Attempt to gain unauthorized access to the platform or other users’ accounts.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” Get Annotator (MACGENCE) DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR THE WORK PERFORMED BY ANNOTATORS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Get Annotator (MACGENCE) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.

Indemnification

You agree to indemnify, defend, and hold harmless Get Annotator (Macgence) and its affiliates, officers, and employees from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

Governing Law and Dispute Resolution

These Terms are governed by the laws of [Noida, India], without regard to its conflict of law principles. Any dispute or claim arising out of these Terms or the Services will be settled by binding arbitration in [Noida, Uttar Pradesh/India].

General Provisions

• Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Get Annotator (Macgence).
• Severability: If any provision of these Terms is found to be invalid, the remaining provisions will remain in full force and effect.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
